Orion Standard

Phosphate is the phosphorus input behind most American corn, wheat and soybean yield, and it was named a United States critical mineral in November 2025. Supply is concentrated in Morocco, China and Saudi Arabia, almost all announced new capacity is offshore, and the country has moved from net exporter to a growing importer of processed phosphate. LFP battery chemistry could need one to two million tonnes a year of purified phosphoric acid by 2035, almost none of which is made here.
Orion Standard is a phased platform rather than a single build. Phase 1 — a mine, beneficiation and an acid plant at a port-served site, $1.44B across 2029 to 2032 — produces 500,000 tonnes of P₂O₅ a year. Phase 2 adds DAP/MAP granulation at $860M from 2033, and Phase 3 battery-grade purified acid at $580M from 2035, each funded from operating cash flow and expansion debt after a record of operation rather than at the outset. Phasing is what cuts capital at risk by 40%.
The platform is at pre-feasibility and the assessment says so plainly: no permits filed, no offtake signed, no independent resource statement, and an AACE Class 4 cost estimate carrying ±30%. Fourteen conditions precedent are the published gate on financial close — a resource statement and pilot recovery data, a Class 3 estimate and a lump-sum turnkey contract, offtake over at least 70% of output with price floors, site control, rail, port and water rights, and final, non-appealable permits.
What the platform asks of a state is a conduit issuer, not credit. The $275M industrial revenue bond must be taxable: federal law caps tax-exempt small-issue bonds at $10M an issue, which this request exceeds twenty-seven-fold. No guarantee, moral obligation or appropriation pledge attaches to any tranche, incentives are tied to verified jobs and capital with clawbacks, and public-benefit reporting runs on six measured metrics. Coverage holds at 1.55 times in the base case and is resized to at least 1.45 times in the downside; the severe case does not clear, which is why the assessment recommends deferring a decision rather than diluting the structure to hold a date.

- Phosphate named a U.S. critical mineral in November 2025, against a growing import gap
- Phasing cuts capital at risk 40% — Phase 1 is rock to acid, nothing further
- A port-served site delivers $24/t cheaper than the alternative — the whole downside margin
- Fourteen conditions precedent and seven thresholds published before financial close
- A DAP price trough longer than three yearsOfftake floors at $350/t, a six-month debt-service reserve and a cash sweep below 1.40×
- NEPA and the state water permit on the critical pathFAST-41 covered status applied for pre-NEPA; permits final and non-appealable before any bond closing
- No offtake signed at pre-feasibilityNo final investment decision without contracts over at least 70% of Phase 1 output
- A Class 4 estimate carrying only 10% contingencyMature to Class 3 or raise contingency by $120–240M, equity-funded, before close
- Resource below planAn independent S-K 1300 statement and pilot-plant recovery data are conditions precedent
- Taxable conduit industrial revenue bond$275M issued by a state or county authority and repaid solely by the project — no state credit
- USDA FIELDS grantUp to $150M per award, 2027 round. Not bankable until awarded
- DOE Energy Dominance FinancingMulti-billion loan authority; a $1.26B potash loan is the precedent
- FAST-41 covered-project statusSchedule, not money — a managed federal permitting timeline, applied for pre-NEPA
- State and local menuPILOT with clawbacks, machinery sales-tax exemption and job credits — $60–90M present value
Program eligibility, availability, and terms vary by siting and are subject to confirmation with the responsible authority.
Almost all announced new phosphate capacity is offshore, and the two things a domestic platform needs are the two a sponsor cannot supply itself: a managed permitting timeline and a conduit issuer. Neither is public money — FAST-41 is schedule, and the bond is repaid by the project alone — and without them the acid plant is built abroad and American rock is shipped to it.
- A community benefits agreement negotiated before permits are filed — 60% local construction hire, 70% operations
- A water-quality fund, an independent advisory panel and a public monitoring dashboard
- Six verified reporting metrics, each with a pro-rata clawback or PILOT reset if missed
- 1Introductory call and mutual NDA.
- 2Access to the full data room, model, and feasibility materials.
- 3Structured term discussion — milestones, clawbacks, and community-benefit terms built in.
